You retain ownership of your business data and existing systems. We will access and modify your systems only as necessary to provide our services and with your explicit consent.

Custom Developments

Custom automation solutions developed specifically for your business will be licensed to you for use, while the underlying technology and methodologies remain our intellectual property.

We understand that our services may require access to confidential business information. We commit to:

• Maintain strict confidentiality of your business information
• Use your information only for providing our services
• Implement appropriate security measures to protect your data
• Not disclose your information to third parties without consent
• Return or destroy confidential information upon request

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid for our services in the 12 months preceding the claim

Termination by Either Party

Either party may terminate the service agreement with 30 days written notice. Upon termination:

• All outstanding fees become immediately due
• We will provide reasonable assistance in transitioning services
• Access to our systems and support will be discontinued
• Confidentiality obligations will survive termination

Immediate Termination

We may immediately terminate services if you breach these Terms or engage in prohibited activities.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or our services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
